1. Acceptance of Terms

By creating an account or using the RivalPulse.ai website and services ("Service"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legal agreement between you (the "User," also referred to as "you") and RivalPulse.ai ("RivalPulse.ai," "we," or "us"). If you do not agree to any part of these Terms, you must not use the Service.

These Terms incorporate our Privacy Policy (described below) and Disclaimers by reference. We may update or amend these Terms from time to time. We will notify users of material changes (for example, by email or through the Service). Continued use of the Service after any changes constitutes your acceptance of the new Terms. If you do not agree to the amended Terms, you should stop using the Service and may close your account.

2. Accounts and Eligibility

Account Creation: To access RivalPulse.ai's competitor analysis reports, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. Accounts are for individual use – you are responsible for all activity that occurs under your account.

Eligibility: You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account. If you are under 18, you may use the Service only with the involvement and consent of a parent or legal guardian. By using the Service, you represent and warrant that you meet the eligibility requirements.

Account Security: You are responsible for maintaining the confidentiality of your login credentials. You must notify RivalPulse.ai immediately at our contact email if you suspect any unauthorized use of your account or any other breach of security. RivalPulse.ai will not be liable for any loss or damage arising from your failure to safeguard your account credentials.

3. User Obligations and Acceptable Use

By using the Service, you agree to the following obligations and acceptable use policies:

• Lawful Use: You will use RivalPulse.ai only for lawful purposes and in compliance with all applicable laws and regulations. You shall not use the Service to engage in any illegal, fraudulent, or harmful activities.
• Proper Use of Service: You will not misuse the Service or interfere with its normal operation. Prohibited conduct includes, but is not limited to: introducing viruses or malicious code; attempting to gain unauthorized access to the Service or other users' accounts; or using any automated means (scripts, bots, scrapers) to access or extract data from the Service without our permission.
• Respect for Intellectual Property: You will not use the Service to infringe upon the intellectual property rights or other rights of RivalPulse.ai or any third party. This means you shall not upload or input content you do not have rights to use, and you will not attempt to copy, reproduce, modify, or create derivative works of the Service, the AI models, or any content on the website (other than the reports generated for you as permitted by these Terms).
• Payment Compliance: You agree not to attempt to circumvent or avoid payment for the Service. You will not attempt to access reports or features without paying the required fees (either per use or via an active subscription). Any unauthorized access or use will be considered a material breach of these Terms.
• No Harmful Reliance: You understand that the Service provides AI-generated competitor analysis reports for informational purposes. You agree not to rely on the Service as your sole source for making critical business decisions without independent verification (see Disclaimers below). You remain responsible for compliance with any professional or legal obligations in how you use the information from our reports.
• Other User Obligations: You will not engage in any activity that could damage, disable, overburden, or impair the Service (such as a denial-of-service attack). You also agree not to use the Service in a manner that harasses or invades the privacy of any individual, or to gather personal information on others without consent. RivalPulse.ai reserves the right to monitor usage and investigate any suspected violations of this Section.

4. Payment and Subscription Terms

RivalPulse.ai offers its reports on a pay-per-use basis and via subscription plans. The following terms apply to payments and subscriptions:

Pay-Per-Use Reports: You may purchase individual competitor analysis reports on a one-time basis. The pricing for each report or query will be provided at the time of purchase. You must pay the specified fee before or at the time the report is generated. Once a report is delivered to you, the transaction is complete and fees are non-refundable, except as required by law or at our sole discretion (for example, if a report was not delivered due to a technical error).

Subscription Plans: Alternatively, you may subscribe to a RivalPulse.ai plan (e.g., monthly or annual subscription) which provides access to multiple or unlimited reports during the subscription period. The terms of your subscription, including the fees, billing cycle, and usage limits (if any), will be presented to you when you subscribe. Subscription fees are charged in advance on a recurring basis (e.g., on the first day of each billing period). By subscribing, you authorize RivalPulse.ai or its payment processor to automatically charge your provided payment method at the start of each renewal period until you cancel.

No Refund Policy: Except as expressly provided in these Terms or required by law, all payments are final and non-refundable. RivalPulse.ai reserves the right to consider refund requests in exceptional cases at our sole discretion, but the provision of a refund in one instance does not obligate us to provide it in the future. Any refunds (if granted) may be issued in the original form of payment or as service credits, at our discretion.

5. Intellectual Property Rights

All content, software, and materials provided through the RivalPulse.ai Service, including but not limited to the website design, text, graphics, logos, algorithms, and the AI models used to generate reports, are owned by RivalPulse.ai or its licensors (such as OpenAI for the AI technology) and are protected by intellectual property laws and treaties. RivalPulse.ai reserves all rights not expressly granted to you under these Terms.

Generated Reports (Outputs): As between you and RivalPulse.ai, you own the content of the competitor analysis reports generated for you from your inputs. Upon creation of a report specifically for your account, RivalPulse.ai hereby assigns to you any and all intellectual property rights it may have in the text of that report, to the extent permissible by law. This means you have the right to use, reproduce, and distribute the report for your own purposes. However, this assignment does not include any underlying software, algorithms, or proprietary methodologies used to produce the report, which remain the exclusive property of RivalPulse.ai and its licensors.

6. Service Availability and Modifications

The Service is provided on an "as available" basis. We do not guarantee that the Service will be available at all times, in all locations, or without interruption. We reserve the right to change, suspend, or discontinue any part of the Service at any time, with or without notice.

7. Termination of Service

Both you and RivalPulse.ai have the right to terminate or suspend this agreement and your use of the Service under certain circumstances. Upon termination, your right to access or use the Service will immediately cease.

8. Disclaimers of Warranties

The RivalPulse.ai Service is provided on an "as is" and "as available" basis. We make no guarantee that the information or results will be correct, complete, up-to-date, or reliable. You acknowledge that any reliance on such reports is at your own discretion and risk.

9. Limitation of Liability

To the maximum extent permitted by law, RivalPulse.ai shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability shall not exceed the total amount of fees you have paid to us in the twelve months prior to the event giving rise to the liability.

10. Indemnification

You agree to defend, indemnify, and hold harmless RivalPulse.ai from any claims arising out of your use of the Service, violation of these Terms, or violation of any rights of another.

11. Dispute Resolution and Governing Law

These Terms shall be governed by the laws of the State of Victoria, Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Victoria, Australia.

12. Miscellaneous

These Terms, together with the Privacy Policy and any additional guidelines or terms posted on the website or provided with the Service, constitute the entire agreement between you and RivalPulse.ai regarding the Service.
